Terms of Service

Contents
These Terms are intentionally short for legal text. We tried to write them in plain English where the law allows. Where we used legalese, it's because it carries specific meaning courts recognise — happy to walk you through any clause you'd like clarified.
01Your agreement with us
These Terms of Service ("Terms") form a binding contract between you (or the organisation you represent — "you", "Customer") and Qurobix Technologies Private Limited ("Qurobix", "we", "us"), the company that operates the AppSuite SaaS platform. In this document, "AppSuite" refers to the product; "Qurobix" refers to the legal entity that provides it. By signing up, accessing, or using AppSuite, you agree to be bound by these Terms.
If you are accepting on behalf of an organisation, you confirm that you have authority to bind that organisation. The person clicking "Sign up" is the Tenant Admin unless and until that role is transferred via the admin console.
02The service
Qurobix provides the AppSuite multi-tenant SaaS platform for HR, attendance, payroll, expenses, and other workplace applications, accessed over the public internet via web browser or API.
We continuously improve the service. We may add, modify, or remove features. Material removals affecting an active plan are announced at least 60 days in advance to admins via email.
03Accounts and users
You are responsible for: (a) keeping your login credentials confidential, (b) all activity that happens under your account, and (c) ensuring your end users (your employees / contractors) accept and follow these Terms when using the service through your tenant.
You must provide accurate registration information and keep it current. You must promptly notify us of any unauthorised access at security@appsuite.in.
04Acceptable use
You will not, and will not allow anyone else to:
- Reverse-engineer, decompile, or attempt to extract our source code.
- Resell or sublicense the service except via our Whitelabel or Affiliate programmes.
- Use the service for any unlawful purpose, including spam, harassment, or distribution of malware.
- Probe, scan, or test the vulnerability of the service except via our responsible-disclosure program.
- Use the service to store special-category personal data (biometric for identification, health, religion, etc.) without first signing the appropriate amendment.
- Use automated means to crawl, scrape, or load-test the service in a manner inconsistent with normal use.
05Your data
You own your data. We claim no licence over it beyond what we strictly need to operate the service: hosting, processing, backing up, displaying it to authorised users in your tenant, and providing support.
You can export your data at any time. We do not sell or share your data with third parties, except service providers under DPA, or where compelled by law.
You are responsible for the legality of the data you upload, the lawful basis for processing it, and your downstream privacy notices to your employees.
06Fees and billing
Paid plans are billed in advance, monthly or annually, in INR (or USD for international customers). Pricing is per tenant, based on the plan and the number of active employees, plus applicable taxes (GST for India).
If you exceed your plan's employee limit, we contact you to upgrade. If you don't respond within 30 days, we upgrade you automatically to the next tier and email you the new invoice. You may downgrade if it was temporary.
Invoices are due on receipt. Failure to pay 15 days past the due date may result in service suspension. Continued non-payment after 30 days may result in termination.
All fees are non-refundable, except as required by law. We do not refund partial months on cancellation; access continues to the end of the paid period.
07Free trial
Eligible paid plans include a 14-day free trial. No credit card is required. At the end of the trial, you can upgrade, downgrade to a free plan (where available), or simply stop using the service — your data remains exportable for 30 days, then is deleted.
08Service levels
We target 99.9% monthly uptime for paid plans (Growth, Scale, Enterprise). Maintenance windows are announced at least 48 hours in advance and scheduled for low-traffic hours (Sunday 2am – 6am IST).
For Scale and Enterprise plans, SLA credits apply if monthly uptime falls below 99.9%. Credits are issued on the next invoice and are the sole remedy for SLA breaches. The free Starter plan is best-effort and not covered by SLA.
09Security
We implement industry-standard administrative, technical, and physical safeguards as described on our Security page, including encryption in transit and at rest, RBAC, audit logging, regular penetration testing, and incident response. We do not warrant that the service will be free of all security vulnerabilities.
10Support
Support channels vary by plan as published on our Pricing page. Response targets are commercially reasonable best-effort. Support is provided in English and conducted by AppSuite staff or its authorised partners.
11Beta features
We sometimes offer beta features marked "Beta", "Preview", or "Early access". These are provided as-is, may change or be removed at any time, are not covered by SLA, and may have lower security and reliability than generally available features. Do not put critical workflows on a beta feature.
12Third-party integrations
The service may interoperate with third-party software (Tally, banks, biometric devices, etc.). Your use of those third parties is governed by their own terms. We are not responsible for third-party services, data they handle, or outages on their side.
13Confidentiality
Each party will protect the other's Confidential Information using at least the same standard of care it uses for its own (and no less than reasonable care). Confidential Information includes business plans, technical details, prices, and customer data. Obligations survive termination by 3 years (perpetually for trade secrets).
14Intellectual property
We own all rights in the AppSuite software, brand, documentation, and platform improvements. You own your data and any branding you upload. Feedback or suggestions you provide may be used by us without compensation.
15Warranties and disclaimers
We warrant that the service will perform materially in accordance with our documentation. EXCEPT FOR THE FOREGOING, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", AND WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.
16Limitation of liability
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages. Each party's aggregate liability under these Terms will not exceed the fees paid to AppSuite in the 12 months preceding the event giving rise to the claim.
The limitations above do not apply to: (a) breach of confidentiality, (b) indemnity obligations, (c) liability for gross negligence or wilful misconduct, (d) amounts payable for the service.
17Indemnity
We will defend you against any third-party claim that the service infringes their IP, and will pay damages and costs awarded. You will defend us against any third-party claim arising from your data, your use in breach of these Terms, or your violation of law.
18Term and termination
These Terms begin on sign-up and continue until terminated. Either party may terminate for the other's material breach not cured within 30 days of written notice. You may terminate for convenience at any time via the admin console; access continues to the end of the paid period.
On termination, your data is exportable for 30 days, then permanently deleted from production within a further 30 days and from backups within a total of 60 days from termination.
19Changes to these Terms
We may update these Terms from time to time. Material changes are announced to admins by email at least 30 days before they take effect. Continued use after the effective date constitutes acceptance. If you don't agree, you may terminate without penalty before the change takes effect.
20General
Governing law. These Terms are governed by the laws of India, without reference to conflict-of-law principles.
Disputes. Courts in Bengaluru, Karnataka, India have exclusive jurisdiction. The parties will first attempt to resolve disputes in good faith for 30 days before initiating proceedings.
Assignment. Neither party may assign these Terms without the other's consent, except to an acquirer of substantially all of its business.
Severability. If a provision is held unenforceable, the rest stays in force.
Entire agreement. These Terms, plus any order form or DPA executed between us, constitute the entire agreement and supersede all prior agreements on this subject.
Notices. Legal notices to us go to legal@appsuite.in with copy by post to the address below. Notices to you go to the email of your Tenant Admin on record.
